In incubators, co-working spaces, labs, and college dorms around the world are creative individuals bringing forth new products to address intractable problems and commercial opportunities—from emissions reduction to space exploration, personalized health, decentralized financial services, universal access to education, and artificial intelligence. O’Melveny’s Emerging Companies team provides efficient, practical, full-cycle support to these innovators and the risk-takers who back them.
Unlike many international law firms, we prefer to work with entrepreneurs from the earliest stages. Our value proposition is our unusual combination of cost-efficient “true” Silicon Valley start-up lawyers and the transactional, regulatory, and litigation firepower of an elite international firm. This scalable platform means we are able to nurture innovative companies along the complete corporate growth cycle, from founding and seed financing through growth, liquidity, and beyond.
And we have the track record to prove it: we have closed venture capital financings at a one-per-business-day pace over the last 12 years. In the last three years, we have helped more than 150 venture-backed companies achieve liquidity via sale, IPO, or SPAC transaction, generating more than US$50 billion in proceeds for founders and investors. And in 2022 alone, we worked with more than 40 “unicorns” with valuations exceeding US$1 billion—including a dozen newly minted in the last 12 months.
Helped AutoGrid Systems, developer of AI-powered software for management of distributed energy resource networks, negotiate its acquisition by Schneider Electric; we had represented AutoGrid since it’s founding, handling all corporate matters and multiple venture capital financings over a 12-year period.
Counsel to leading intelligent LiDAR solutions provider Cepton Technologies from inception, advising the company on corporate matters, multiple venture capital financings, and its US$1.5 billion merger with the Growth Capital Acquisition Corp. SPAC.
Long-time outside counsel to Forte, developer of blockchain solutions for video game publishers, advising on all corporate and technology matters as well as its US$725 million Series B financing led by Sea Capital and Kora Management and including Animoca Brands, Huuuge Games, Overwolf, Playstudios, Warner Music Group, zVentures, Cosmos, Polygon Studios, Solana Ventures, Andreessen Horowitz, and Tiger Global.
Over the course of a six-year working relationship, we advised metal oxide photoresist design innovator Inpria on corporate and growth matters, several rounds of venture capital financing, and its US$514 million acquisition by JSR Corporation.
Worked with K2 Cyber Security, a provider of runtime application protection and vulnerability detection, since the company’s founding in 2017, advising on all corporate matters, multiple venture capital financings, and the company’s acquisition by New Relic, a leading developer of cloud-based software for monitoring the entire software stack.
Serving as long-time corporate counsel to venture-backed Strava, provider of an app for tracking exercise—over a 15+ year relationship, we advised on all corporate matters, including its acquisitions of Cycleface, Fatmap, and Recover Athletics, and multiple venture financings, most recently its US$110 million Series F financing at a reported US$1.5 billion valuation.
